Terms and Conditions
The terms governing your access to and use of Reflexion.

These Terms and Conditions ("Terms") govern your access to and use of the Reflexion facilities management software, together with any related websites, mobile applications, APIs, and services (collectively, the "Service"), operated by Lattice Software Solutions LLC ("Lattice", "Reflexion", "we", "us" or "our"), a company registered in the Emirate of Dubai, United Arab Emirates. The Service is offered primarily to businesses, including small and medium-sized enterprises ("SMEs"). By creating an account, subscribing to, or otherwise using the Service, you agree to be bound by these Terms.
Definitions
"Customer", "you" or "your" means the legal entity or individual that registers for or uses the Service. "Authorised User" means an employee, contractor, or agent whom you permit to use the Service under your account. "Subscription" means the plan, term, and usage limits you select. "Subscription Fees" means the recurring or one-time charges payable for the Service. "Content" means any data, text, files, or material you submit to the Service.
Eligibility and Account Registration
To use the Service you must be at least 18 years of age and capable of forming a binding contract. Where you register on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms. You agree to provide accurate, current, and complete registration information and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
Subscriptions and Licence
Subject to your compliance with these Terms and payment of applicable Subscription Fees, Lattice grants you a non-exclusive, non-transferable, revocable licence to access and use the Service during your Subscription term for your internal business purposes. The Service is licensed, not sold. We may offer different plans with differing features, usage limits, and pricing; the plan you select forms part of these Terms.
Acceptable Use
You agree not to, and not to permit any Authorised User to: (a) copy, modify, reverse engineer, decompile, or create derivative works of the Service except as permitted by law; (b) resell, sublicense, or make the Service available to any third party except as expressly permitted; (c) use the Service to store or transmit unlawful, infringing, or malicious material; (d) attempt to gain unauthorised access to the Service or its related systems; (e) interfere with or disrupt the integrity or performance of the Service; or (f) use the Service in violation of any applicable UAE or international law.
Customer Content and Data
You retain all rights in your Content. You grant Lattice a worldwide, royalty-free licence to host, process, and display your Content solely to the extent necessary to provide and support the Service. You are responsible for the accuracy, quality, and legality of your Content and for obtaining all necessary consents for its use within the Service. Our handling of personal data is described in our Privacy Policy.
Fees, Billing and Taxes
Subscription Fees, billing cycles, and payment terms are set out in your selected plan and in our Payment Policy, which is incorporated into these Terms by reference. All fees are stated in UAE Dirhams (AED) unless otherwise specified and are exclusive of Value Added Tax (VAT) unless stated otherwise; applicable VAT at the prevailing UAE rate (currently 5%) will be added. Payments are processed securely through our payment provider, Network International (N-Genius). Refunds, where applicable, are governed by our Refund Policy.
Onboarding and Service Delivery
Access to the Service is provisioned following successful payment or agreement of commercial terms, as described in our Delivery Policy. Where your plan includes implementation, configuration, or onboarding services, the scope and timelines for those services will be agreed in writing and are subject to your timely cooperation and provision of required information.
Service Availability and Support
We will use commercially reasonable efforts to make the Service available with minimal interruption. The Service may be temporarily unavailable for scheduled maintenance, updates, or factors beyond our reasonable control. Any specific availability commitments (Service Level Agreement) will be set out separately and apply only where expressly agreed in writing.
Intellectual Property
The Service, including all software, design, text, graphics, and trademarks (including "Reflexion" and "Lattice"), is owned by or licensed to Lattice and is protected by intellectual property laws. Except for the limited licence granted to you under these Terms, no rights are transferred to you. Any feedback or suggestions you provide may be used by us without restriction or obligation to you.
Confidentiality
Each party may receive confidential information of the other. Each party agrees to protect the other's confidential information with the same degree of care it uses for its own, and not to disclose it except to personnel who need to know it and are bound by confidentiality obligations, or where required by law.
Suspension and Termination
We may suspend or terminate your access to the Service if you breach these Terms, fail to pay fees when due, or if required by law. You may terminate your Subscription in accordance with your plan and our Refund Policy. Upon termination, your right to use the Service ceases. We will make your Content available for export for a limited period following termination, after which it may be deleted in accordance with our data retention practices.
Warranties and Disclaimers
We warrant that we will provide the Service with reasonable skill and care. Except as expressly stated in these Terms, and to the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Nothing in these Terms excludes or limits any rights you have as a consumer under UAE Federal Law No. 15 of 2020 on Consumer Protection (as amended) that cannot be lawfully excluded.
Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity. Our total aggregate liability arising out of or relating to the Service or Lattice, in any twelve-month period will not exceed the total Subscription Fees paid by you to us during that period. Nothing in these Terms limits liability that cannot be limited under applicable law.
Indemnity
You agree to indemnify and hold harmless Lattice and its officers, employees, service provider and agents from any claims, damages, or expenses arising out of your Content, your use of the Service in breach of these Terms, or your violation of any law or third-party right.
Changes to the Service or Terms
We may update the Service and these Terms from time to time. Where changes are material, we will provide reasonable notice through the Service or by email. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of those Terms.
Governing Law and Jurisdiction
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, without prejudice to any mandatory consumer protection rights.
